We view the raising of private capital as a critical piece of our relationships with fast growing, middle-market clients. Our professionals have developed a thorough understanding of private equity market dynamics, built relationships with leading financial investors, and have a thorough understanding of these groups' areas of interest. Generally, the Firm advises companies seeking private equity and/or mezzanine financing.

Our processes involve:

  • Conducting a preliminary discussion with the client about valuation expectations, optimal timing and process strategy, and goals.

  • Performing detailed, up-front due diligence to maximize our understanding of the business and our ability to portray the company most positively in the marketplace while minimizing the likelihood of negative surprises during investor due diligence.

  • Preparing a private placement memorandum with a compelling investment thesis supported with the requisite facts.

  • Determining the most appropriate group of potential investors, financial and/or strategic, by leveraging our knowledge and contacts, and through exhaustive research.

  • Marketing the business to potential investors while maximizing confidentiality and maintaining momentum.

  • Providing honest advice in analyzing available opportunities while recommending a course of action for our client.

  • Assisting in the negotiation of a term sheet.

  • Facilitating and supporting investor due diligence.

  • Negotiating a formal definitive agreement and closing the transaction.
